About Us

Mike McCarthy has been providing legal counsel to sophisticated clients for over 20 years.  After graduating from Georgetown Law School, he began his legal career at Saul Ewing, a prominent Philadelphia law firm of over 200 lawyers which traces its origins to the influential Philadelphia legal community of the late 1800s.  For 6 years at Saul Ewing, Mike counseled corporate, institutional and individual clients in various stages of commercial disputes, up to and including litigations, jury trials and appeals. 

In 1996, Mike accepted an offer to work inhouse as a senior corporate counsel for Systems & Computer Technology Corporation ("SCT"), a publicly-traded software and services provider to the Higher Education, Government, Utilities and Manufacturing marketplaces.  For SCT, Mike provided counsel on the entire spectrum of legal issues faced by a sophisticated public technology company.  He also negotiated enterprise software agreements, outsourcing agreements and numerous other technology agreements with a multitude of clients, software vendors, partners and other entities.  During his 8-year career with SCT, Mike received two promotions, the second of which was to the role of Corporate Vice President.

In early 2004, SCT was acquired by SunGard Data Systems Inc., a Fortune 500 provider of software and technology solutions to the Financial, Higher Education, and Public Sector marketplaces.  At the time of the acquisition, SCT's General Counsel retired and Mike was promoted into the role of the Chief Counsel for the Higher Education and Public Sector divisions of SunGard.  Mike held this position while SunGard was a publicy-traded company and for nearly 3 years after it was acquired by a consortium of the world's most prominent private equity firms in one of the largest leveraged buyouts in U.S. history. In February 2007, Mike was promoted to corporate Vice President-Legal of SunGard Data Systems. During his tenure with SunGard, Mike managed a 5-person legal team dedicated to providing counsel to SunGard's Higher Education and Public Sector businesses, which together produced annual revenues approximating $1 Billion, on a broad range of legal and business matters.  Like at SCT, Mike and his team's responsibilities included negotiating software and technology transactions with some of the most prominent educational institutions and public entities in the world, as well as negotiating various Reseller and Distributor Agreements and other technology-related transactions. 

In the late Spring of 2008, Mike decided to pursue a long-standing desire to utilize his wealth of legal experience to provide counsel to a wider spectrum of clients.  Mike's philosophy is to negotiate transactions with a practical eye towards focusing on the issues that are most meaningful and that present the most practical risk, while at the same time recognizing that the ultimate goal of each client should be to build a successful, long-term business partnership.
Mike was born and raised in the Philadelphia area.  He attended Cardinal O'Hara High School in Springfield, Pennsylvania, and then went on to receive a Bachelor's Degree in Electrical Engineering from Villanova University.  Thereafter, Mike received his law degree from the Georgetown University Law Center.  He lives in Newtown Square with his wife of 22 years and his three children.    

Mike is an attorney in good standing and has been admitted to practice law in the Commonwealth of Pennsylvania.
